  • Business Day means a day other than a Saturday, Sunday or public holiday in Perth, Western Australia.
  • Client means the person who places an order or books a consultation with Steady Minds Learning for the benefit of a Student.
  • General Resources means the free online tool and the free and paid printable worksheets and resources described in clause 1.13.
  • Services means the personalised learning resources and educational consultation services provided by Steady Minds Learning under these Terms. In clauses 8, 9 and 10, Services includes General Resources.
  • Personalised Learning Resources means the Report Summary, the school documents summary, One Tool, the Homework Starter Kit, and any other resource prepared for an individual Student under these Terms.
  • Steady Minds Learning, we, us or our means Steady Minds Learning Pty Ltd.
  • Student means the child or young person identified in the Client’s order or consultation booking.
  • Terms means these Terms and Conditions.

1. Services & Professional Scope

1.1 Steady Minds Learning creates personalised learning resources for the Student using documents and information supplied by the Client.

1.2 Services may include homework plans, study organisers, visual aids, step-by-step assignment guides and written summaries of the Student’s existing reports and learning plans.

1.3 Steady Minds Learning may also provide consultation sessions to parents and guardians.

1.4 Steady Minds Learning does not provide tutoring, direct instruction to Students, psychological or educational assessment, diagnosis, therapeutic services, advocacy or representation in dealings with schools.

1.5 Steady Minds Learning does not contact the Student’s school on the Client’s behalf.

1.6 If Steady Minds Learning refers to a diagnostic, psychological or allied health report supplied by the Client, it does so only to design practical learning resources.

1.7 Any reference to a report under clause 1.6 is not a clinical opinion, second opinion, reinterpretation of the report’s findings, or a substitute for advice from the professional who prepared the report.

1.8 Steady Minds Learning provides the Services with due care and skill and in accordance with any consumer guarantees that apply under the Australian Consumer Law.

1.9 Educational progress depends on the Student’s engagement and matters outside Steady Minds Learning’s control. Steady Minds Learning does not guarantee particular academic grades, examination outcomes, school placement results or changes to the Student’s school-based supports.

1.10 Steady Minds Learning operates separately from the provider’s school-based employment.

1.11 Steady Minds Learning does not provide Services to families connected with the provider’s employing school. Information obtained through that employment is not used in connection with the Services.

1.12 Steady Minds Learning will disclose and manage any conflict of interest that arises in connection with the Services.

1.13 Steady Minds Learning also makes available a free online tool that suggests general homework strategies, and printable worksheets and resources, some free and some available for purchase. These are referred to in these Terms as General Resources.

1.14 General Resources are not personalised to a Student, are not based on information about any particular child, and do not involve any assessment or professional judgement about a child's needs. The Client decides what is suitable for their own family.

1.15 Clauses 2.5, 2.6, 3.1 to 3.3 and 6.2 do not apply to General Resources.

1.16 Paid worksheets and resources are delivered digitally on completion of payment. Because they are supplied immediately, they are not refundable for change of mind. Nothing in this clause limits the Client's rights under the Australian Consumer Law, including where a resource is not as described or is faulty.

1.17 The Client may print and reproduce purchased resources for personal or family use, but may not sell, publish, distribute commercially, or supply them to other families or organisations.

1.18 The Steady Homework app has its own Terms of Use, which apply to use of the app. These Terms apply to any paid service or worksheet purchase, including one made through a link in the app.

2. Orders, Fees & Payment

2.1 Current prices for personalised learning resources and consultations are published on Steady Minds Learning’s website and confirmed when the Client places an order or books a consultation.

2.2 Steady Minds Learning may review its prices from time to time. The price confirmed when the Client places the relevant order or books the relevant consultation applies to that order or consultation.

2.3 Personalised Learning Resources must be paid for in full before Steady Minds Learning begins work.

2.4 Steady Minds Learning will begin work on Personalised Learning Resources after cleared payment is received and the Client has supplied the documents and information reasonably required.

2.4A Parent Consultations are invoiced after the consultation. Payment is due within 7 days of the invoice date.

2.4B A Parent Consultation runs for 45 minutes. Extra time may be offered during the session at the rate published on Steady Minds Learning's website, charged in full 15-minute blocks. Extra time is only charged where the Client agrees to it during the session.

2.4C Fees already paid for the same Student count toward the next service ordered within 60 days:

  1. a Report Summary or school documents summary ordered within 60 days of a Parent Consultation: the consultation fee is credited toward the summary;
  2. a Homework Starter Kit ordered within 60 days of a Parent Consultation or of delivery of a summary: the total already paid for that consultation and summary is credited toward the Kit.

Credits count consultation fees (excluding travel and extra consultation time) and summary fees (including any additional report fees). If a consultation credit is more than the summary price, the unused amount carries forward to the Kit. A consultation credit applies once the consultation invoice has been paid in full. The 60 days run from the most recent consultation or summary delivery. Credits apply once per Student, cannot be transferred, have no cash value, and cannot reduce a price below $0. If a service ordered using a credit is cancelled before work starts, the amount paid is refunded and the credit is reinstated for the rest of the original 60-day period.

Example: Parent Consultation $150, then Report Summary $30 ($180 less $150), then Homework Starter Kit $270 ($450 less $180). Total $450.

2.5 The standard turnaround for personalised learning resources is three Business Days from the later of:

  1. receipt of cleared payment; and
  2. receipt of sufficient information from the Client.

2.6 If the Client has not supplied sufficient information to enable Steady Minds Learning to provide the Services, Steady Minds Learning may request further information. The turnaround period is paused until that information is received.

2.7 Steady Minds Learning is not currently registered for Goods and Services Tax (GST). If its GST registration status changes, Steady Minds Learning will notify Clients in writing before any GST-inclusive price change takes effect.

3. Cancellations, Changes & Refunds

3.1 Work starts as soon as Steady Minds Learning has received both cleared payment and the documents or information needed. Steady Minds Learning will email the Client to confirm that both have been received. If the Client cancels before work starts, the Client will receive a full refund.

3.2 Because each resource is custom-built for an individual Student, orders cannot be cancelled for change of mind once work has commenced.

3.3 The following support is included in the price. It is separate from, and does not limit, the Client's rights under the Australian Consumer Law (see clause 3.5).

  1. Homework Starter Kit: if a delivered tool does not fit how the Student works, as described at the time of order, the Client may request one round of changes within 14 days of delivery, at no charge.
  2. Report Summary and school documents summary: if anything in a delivered summary is wrong or unclear, the Client may tell Steady Minds Learning within 14 days of delivery and it will be corrected or clarified at no charge.
  3. One Tool: if the delivered tool does not fit how the Student works, as described at the time of order, the Client may request one round of changes within 14 days of delivery, at no charge.
  4. New assignments, or reports received after delivery, are a new order or a quoted update.

3.4 To reschedule a consultation without charge, at least 24 hours' notice is required. Sessions cancelled with less than 24 hours' notice, or not attended, may incur a fee of up to the consultation fee, reflecting Steady Minds Learning's reasonable loss and reduced where the appointment is filled or costs are avoided. If Steady Minds Learning cancels, the session will be rescheduled or refunded at the Client's election. Full details, including when fees are waived, are in the Cancellation & Refund Policy.

3.5 Nothing in this clause 3 limits the Client's rights under the ACL, including the right to a remedy where Services are not delivered with due care and skill.

4. Client Responsibilities

4.1 The Client must provide information that is accurate, current and reasonably necessary for Steady Minds Learning to design and deliver the requested learning resources or consultation services.

4.2 The Client may choose to provide information about the Student’s learning needs, disability, medical condition, behaviour, wellbeing, diagnostic assessments, or reports prepared by psychologists, allied health professionals, schools or other service providers.

4.3 By submitting that information and placing an order or booking a consultation, the Client expressly consents to Steady Minds Learning collecting, storing, reviewing and using that information solely to:

  1. understand the Student’s stated learning needs;
  2. create, revise and deliver the requested learning resources;
  3. prepare for and conduct the requested parent or guardian consultation; and
  4. communicate with the Client about the order, consultation or resources.

4.4 The Client confirms that they are the Student’s parent, legal guardian, or otherwise authorised to provide the Student’s information and give the consent described in clause 4.3.

4.5 The Client must not provide information that is unnecessary for the requested Services. Steady Minds Learning may ask the Client to remove, redact or clarify information where this is appropriate before work begins.

4.6 Where an in-person consultation occurs at the Client’s home, a parent, guardian or other authorised adult must remain present for the duration of the consultation.

5. Professional Conduct and Child Safety

5.1 Steady Minds Learning holds a current Working With Children Check (WWCC) as required under the Working with Children (Criminal Record Checking) Act 2004 (WA). Evidence is available on request.

5.2 Steady Minds Learning does not provide tutoring, direct instruction or one-to-one work with Students. A Student may attend a Parent Consultation, in person or online, with their parent or guardian present throughout. All bookings, arrangements and communication are with the parent or guardian.

5.3 All interactions are conducted in accordance with child-safe standards and professional codes of conduct.

5.4 Consultations will not be recorded by either party without prior written consent.

6. Intellectual Property and Use of Resources

6.1 Steady Minds Learning retains copyright in all templates, frameworks and underlying methodology used to create the resources supplied under these Terms.

6.2 The Client is granted a perpetual, non-exclusive licence to use the resources supplied for the benefit of the named Student. This expressly includes:

  • Printing and reproducing the resources for the Client’s use
  • Sharing them with the Student’s school, teachers, tutors, or allied health professionals
  • Adapting them for the Student’s changing needs

6.3 Except as permitted by clause 6.2, resources may not be sold, published, distributed for commercial purposes, or supplied to other families or organisations for their own use.

7. Privacy & Information Handling

7.1 Steady Minds Learning collects only the personal information and sensitive information that is reasonably necessary to provide the Services requested by the Client.

7.2 Information may include the Client’s contact details and information about the named Student’s learning needs, schoolwork, educational plans, and reports or recommendations supplied by the Client.

7.3 Steady Minds Learning uses this information only for the purposes set out in clause 4.3, unless the Client gives further express consent or use or disclosure is required or authorised by law.

7.4 Steady Minds Learning does not sell, trade or rent personal information. It does not disclose the Student’s documents or information to the Student’s school, teachers, tutors, allied health professionals or any other third party unless:

  1. the Client gives express written instructions to do so; or
  2. disclosure is required or authorised by law.

This does not include service providers that store or process information on Steady Minds Learning's behalf, as described in the Privacy Policy.

7.5 Information is stored using access-controlled cloud services protected by two-factor authentication. Access is limited to Steady Minds Learning personnel who need the information to provide the Services.

7.6 Steady Minds Learning retains records while Services are being provided and for up to seven years afterwards, unless a shorter period is appropriate having regard to the purpose for which the information was collected, the Client requests deletion, or retention is required by law.

7.7 A Client may request access to, correction of, or deletion of the personal information held about them or the Student by contacting Steady Minds Learning at alana@steadymindslearning.com.au. Steady Minds Learning will respond within 30 days and may retain limited information where necessary to comply with legal obligations, resolve a dispute, enforce these Terms, or maintain business records.

7.8 Where deletion is requested, Steady Minds Learning will securely delete or de-identify the relevant information within a reasonable time, except to the extent retention is necessary for a lawful purpose described in the clause above.

7.9 Information obtained through the provider’s school-based employment is kept separate and is not used in connection with Steady Minds Learning Services. Steady Minds Learning does not use information obtained through its Services in connection with school-based employment.

7.10 Steady Minds Learning maintains a Privacy Policy that explains its information-handling practices and how privacy concerns may be raised. Steady Minds Learning handles personal information in accordance with the Australian Privacy Principles, whether or not the Privacy Act 1988 (Cth) applies to it.

8. Limitation of Liability

8.1 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.

8.2 To the maximum extent permitted by law, Steady Minds Learning's total aggregate liability to the Client arising out of or in connection with the Services, these Terms, or any act or omission of Steady Minds Learning is limited to the amount paid by the Client for the specific Services giving rise to the claim.

8.3 Steady Minds Learning is not liable for any indirect, consequential, special or incidental loss, including loss of opportunity, loss of anticipated educational progress, loss of data, loss of reputation, or loss arising from decisions made by a school, teacher, tutor, allied health professional or other third party, except to the extent that liability cannot lawfully be excluded.

8.4 The Client acknowledges that the Services provide practical learning resources and parent or guardian consultation only. Steady Minds Learning does not provide tutoring, direct instruction, psychological or educational assessment, diagnosis, therapy, clinical opinions, advocacy, or representation in dealings with a school.

8.5 Where the Client shares a resource with a school, teacher, tutor, allied health professional or other third party, Steady Minds Learning is not responsible for that person’s interpretation, implementation, amendment or use of the resource.

8.6 This clause 8 survives termination or expiry of these Terms.

9. Termination

9.1 Either party may terminate an ongoing arrangement with 7 days' written notice. Work already completed and paid for is unaffected. If Steady Minds Learning ends an arrangement before paid work is delivered, it will either complete that work or refund the amount paid for the part not delivered, as the Client chooses.

9.2 Services may be declined or terminated immediately where the Client breaches these Terms, behaves inappropriately, or where a conflict of interest arises that cannot be appropriately managed.

10. Dispute Resolution

10.1 If a dispute arises, the parties agree to attempt resolution before commencing legal proceedings:

  • The party raising the dispute notifies the other in writing, setting out the nature of the dispute and the outcome sought
  • The parties meet within 10 Business Days to attempt resolution in good faith
  • If unresolved within 20 Business Days, either party may refer the matter to mediation

10.2 Nothing in this clause prevents either party from seeking urgent relief from a court.

11. Governing Law

These Terms are governed by the laws of Western Australia.

12. Amendments

Steady Minds Learning may update these Terms from time to time. Clients will be notified of material changes by email at least 14 days before they take effect. The Terms in force at the time of the Client’s order apply to that order.
